Introduction

Welcome to the Ringo Platform! By subscribing to and using our services in public beta, you agree to these Terms & Conditions. The Ringo Platform is a B2B platform intended exclusively for use by companies, organizations, freelancers, independent contractors, and their authorized representatives. It includes all websites, applications, services, and products provided by Ringo, including but not limited to Ringo Ballpark. If any part of these terms is not agreeable to you, please discontinue your use of the platform.

Definitions

• “Ringo Platform” or “Platform”: Refers to all websites, applications, services, and products provided by Ringo, including but not limited to Ringo Ballpark and any future offerings.
• “Services”: Encompasses all functionalities, features, and content provided through the Ringo Platform.
• “User”: The company, organization, freelancer, independent contractor, or authorized representative accessing or using the Ringo Platform.
• “Freelancer” or “Independent Contractor”: An individual who provides services in a professional capacity without being an employee of a company, including but not limited to producers, music supervisors, and other industry professionals.

User Eligibility

• Professional Use Only: Access to the Ringo Platform is restricted to companies, organizations, freelancers, independent contractors, and their authorized representatives. The platform is not intended for personal, household, or consumer use.
• Authorization: By creating an account or using the platform, you represent and warrant that you are acting on behalf of a company, organization, or in your capacity as a professional freelancer or independent contractor, and have the authority to bind yourself or that entity to these Terms & Conditions.
• Compliance: Users must ensure that their use of the platform is in compliance with all applicable laws and regulations relevant to business entities and professional individuals.

Privacy and Data Protection

• Privacy Policy Reference: Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, store, and protect your personal data.
• GDPR Compliance: We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. By using the Ringo Platform, you consent to the processing of your data as described in our Privacy Policy.

Public Beta Disclaimer

The Ringo Platform is currently in a public beta phase. This means:

• Features and Functionality: The platform is under active development and may contain minor bugs, errors, or incomplete features.
• Data: While we strive for accuracy, outputs or recommendations from the platform should be independently verified before use.
• Feedback Collection: As a beta user, your feedback is critical to improving the platform. By using the Ringo Platform, you consent to potentially being contacted for feedback or surveys.

User Account Security

• Account Responsibility: You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account.
• Authorized Use: Accounts must be used by you or authorized personnel of your company or organization. Sharing login credentials with unauthorized individuals is prohibited.
• Security Breach: Notify us immediately at support@thisisringo.com of any unauthorized use or security breach of your account.

Scope of Use

• Access: Access to the Ringo Platform is granted to eligible professional users and is intended for lawful commercial purposes only.
• Usage: The Platform is designed to provide guidance and insights for sync music licensing (or other services as added) and should not be relied upon for critical decisions without additional verification.
• No Personal Use: The Platform is not intended for personal or consumer use. Any such use is a violation of these Terms & Conditions.
• Non-Licensing Authority: Ringo explicitly states that it does not represent rights holders and is not authorized to grant licenses. All licensing decisions and agreements are solely determined by the respective rights-holders. Users must contact rights-holders directly or via official channels facilitated by Ringo to obtain valid licenses.

  The inclusion of metadata, pricing indications, or visual content on the Platform does not imply any affiliation, endorsement, or licensing relationship between Ringo and the rights-holders, labels, or artists associated with the referenced works.

• End-User Disclaimer: Ringo displays publicly available metadata and non-binding pricing estimates solely for the purposes of discovery and indicative evaluation. Users are solely responsible for verifying rights-holder details and securing the necessary licenses.

User Representations and Warranties

• Authority: You represent and warrant that you have the legal authority to enter into these Terms & Conditions on behalf of the company, organization, or in your capacity as a professional freelancer or independent contractor.
• Accurate Information: You agree to provide accurate and complete information about yourself or your company during registration and to update such information as necessary.
• Compliance with Laws: You represent that your use of the platform does not violate any applicable laws or regulations.

Intellectual Property Rights

• Ownership Clarification: All content, features, and functionality on the platform—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software—is the exclusive property of Ringo or its licensors and is protected by international intellectual property laws.
• Third-Party Content:

  • Ownership of Third-Party Content: The platform may display content, including but not limited to album artwork, images, audio clips, and other materials that are owned by third parties (“Third-Party Content”).

  • Use of Third-Party Content: Such Third-Party Content is used by Ringo under license, permission, or as permitted by applicable law. Ringo does not claim ownership of any Third-Party Content displayed on the platform.
  • No License Granted: Your use of the platform does not grant you any rights to use the Third-Party Content except as necessary to access and view it through the platform.
  • Prohibited Actions: Unauthorized use, reproduction, modification, distribution, or storage of any Third-Party Content is prohibited unless you have obtained prior written consent from the rightful owner.
• License Grant: Ringo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended business purposes, subject to these Terms & Conditions.

User-Generated Content

• Content Guidelines: If you submit any feedback or content, you agree that it will not be unlawful, defamatory, obscene, harassing, or infringing on any third-party rights.
• Rights to Feedback: By providing feedback, you grant Ringo a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute your feedback for any purpose without compensation to you.

Third-Party Links and Services

• External Links Disclaimer: The platform may contain links to third-party websites or services. Ringo is not responsible for the content, terms, or privacy policies of these external sites. Access them at your own risk.

Prohibition on AI Training

• Restriction: Users are strictly prohibited from using the platform, its features, or any data obtained from it to train, test, or develop artificial intelligence or machine learning models.
• Breach of Terms: Any attempts to extract or repurpose Ringo’s proprietary algorithms, data, or outputs for AI training or other development activities will be considered a breach of these Terms & Conditions.

Data Integrity

• No Guarantee of Accuracy: While the Ringo Platform strives to provide accurate and reliable data, including pricing indications generated by our proprietary algorithm, we do not guarantee the validity, accuracy, or completeness of any information provided.
• Indicative Pricing: The pricing information displayed on the platform is an estimate generated by our algorithm and is intended for informational purposes only. It does not constitute a binding quote or offer.
• No Endorsement by Labels or Publishers: The estimated prices have not been reviewed, approved, or endorsed by any music labels, publishers, artists, or their representatives. Actual licensing fees may vary significantly and are determined solely by the rights holders.
• User Verification: Users are responsible for independently verifying all results, recommendations, and pricing information before making any decisions or taking any action based on such information.

Disclaimer of Warranty

• “As Is” Service: The Ringo Platform service is provided “as is” and “as available.”
• No Warranties: Ringo disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• User’s Risk: Your use of the platform, including reliance on any pricing indications or other information, is at your sole discretion and risk.

Limitation of Liability

• No Liability for Damages: Ringo shall not be liable for any damages, including direct, indirect, incidental, consequential, or punitive damages, arising from or related to your use of the platform or any information provided therein, including pricing indications.
• Liability Cap: In no event shall Ringo’s total liability exceed the amount you have paid to us in the last twelve (12) months, or one hundred Euros (€100), whichever is greater.

Indemnification

• User Indemnity: You agree to indemnify, defend, and hold harmless Ringo, its affiliates, officers, directors, employees, agents, licensors, and suppliers from any claims, liabilities, damages, losses, or expenses arising from your use of the platform, your violation of these Terms & Conditions, or your infringement of any intellectual property or other rights of any person or entity.

User Responsibilities

• Compliance: Users must comply with all applicable laws and regulations while using the Ringo Platform, including tax obligations and professional licensing requirements.
• Prohibited Actions: Users agree not to reverse-engineer, duplicate, reproduce, sell, resell, or exploit any portion of the platform without express written permission from Ringo.

Modification of Terms

• Advance Notice: We may update these Terms & Conditions periodically. For significant changes, we will provide advance notice via email or through the platform.
• User Acceptance: Continued use of the platform after changes are made constitutes your acceptance of the new Terms & Conditions.

Termination

• By Ringo: We reserve the right to terminate or suspend your access to the platform at our sole discretion, without prior notice, for any reason, including violation of these Terms & Conditions.
• By User: You may terminate your account at any time by contacting support@thisisringo.com. Upon termination, your right to use the platform will immediately cease.
• Effect of Termination: Upon termination, all provisions of these Terms & Conditions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

• Governing Law: These Terms & Conditions are governed by the laws of The Netherlands, without regard to conflict of law principles.
• Arbitration Clause: Any disputes arising from these Terms & Conditions or your use of the platform shall be resolved through binding arbitration under the rules of the Netherlands Arbitration Institute. The arbitration will take place in Amsterdam, The Netherlands, and will be conducted in English.
• Jurisdiction: If arbitration is not permitted by law, you agree to submit to the exclusive jurisdiction of the courts located in Amsterdam, The Netherlands.

Severability

• Validity of Terms: If any provision of these Terms & Conditions is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

• Consolidation: These Terms & Conditions, along with our Privacy Policy, constitute the entire agreement between you and Ringo regarding your use of the platform and supersede any prior agreements.

Force Majeure

• Unforeseeable Events: Ringo shall not be liable for any failure or delay in the performance of its obligations under these Terms & Conditions if such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, extreme weather conditions, war, terrorism, civil unrest, epidemics, pandemics, embargoes, governmental actions, labor disputes, power outages, internet or telecommunications failures, or any other events beyond our reasonable control.

Age Restrictions

• Minimum Age Requirement: By using the platform, you represent that you are at least 18 years old or the age of majority in your jurisdiction.

Language

• Governing Language: These Terms & Conditions are provided in English. If translated into other languages, the English version shall prevail in case of discrepancies.

Notices

• Communication Methods: All notices and communications will be sent to you via the email address associated with your account or posted within the platform.
• Official Correspondence: Notices to Ringo should be sent to support@thisisringo.com.
